Technology is a minefield of different expectations which need to be crystallized and reconciled prior to contract. All specifications, deliverables (including performance benchmarks) and end of contract arrangements need to be scrutinised and accurately documented at the commencement of the commercial arrangement, in a specifically tailored agreement.

A “One size fits all – Take it Or leave it Contract.” is not appropriate, and risks exposing a client to risk of loss of expected entitlements and expensive, disruptive and potentially disastrous disputes with the other contract parties downstream. There may also be employment and consultancy contractual issues to be dealt with in conjunction with a technology contract.
